    Legal

    Terms of Service

The agreement that governs use of this Site and engagements with RevOpsLogic.

    Effective Date: 01 January 2026Last Updated: 14 September 2026

These Terms of Service (“Terms”) govern the use of the website located at https://revopslogic.com (the “Site”) and the provision of revenue operations, go-to-market, marketing, sales enablement, automation, and related consulting and implementation services (the “Services”) by Twinflare Technologies LLP, a limited liability partnership incorporated in India under the Limited Liability Partnership Act, 2008, with LLP Identification Number (LLPIN) ACJ-2709, having its registered office at Lower Ground Floor, Salcon Rasvilas, D-1, Saket District Center, Saket (South Delhi), South Delhi, New Delhi, Delhi, India, 110017 (“RevOpsLogic,” “we,” “us,” or “our”).

By accessing the Site, booking a discovery call, signing a proposal or statement of work (“SOW”), or otherwise engaging RevOpsLogic, the person or entity doing so (“Client,” “you”) agrees to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

If there is a signed Master Services Agreement (“MSA”), Statement of Work, or order form between Client and RevOpsLogic, that document governs to the extent it conflicts with these Terms.

    01Services

1.1RevOpsLogic provides B2B revenue operations and go-to-market services, which may include demand generation, outbound pipeline development, inbound conversion, CRM and marketing/sales automation implementation, data operations, and fractional RevOps support (collectively, the “Services”), as described in the applicable proposal, SOW, or order form.

1.2Specific deliverables, timelines, fees, and scope for each engagement will be set out in a separate SOW or proposal. In the event of any conflict between this document and an SOW, the SOW controls for that engagement only.

1.3RevOpsLogic may use, configure, and connect Client’s systems to third-party platforms (e.g., CRM, email, enrichment, dialer, or automation tools) as reasonably necessary to deliver the Services. See Section 8 (Third-Party Tools and Subprocessors).

    02Client Responsibilities

2.1Access and Cooperation. Client will provide timely access to systems, accounts, data, personnel, and approvals reasonably required for RevOpsLogic to perform the Services. Delays caused by Client may extend delivery timelines accordingly.

2.2Accuracy of Information. Client is responsible for the accuracy, legality, and completeness of any data, contact lists, content, or materials it provides to RevOpsLogic.

2.3Data Ownership and Rights. Client represents and warrants that it owns, or has all necessary rights, consents, and lawful basis to use and to instruct RevOpsLogic to process, any personal data, contact lists, or prospect data provided to or generated on Client’s behalf in connection with the Services (including for outbound email, calling, or enrichment campaigns).

2.4Compliance with Marketing and Data Laws. Client is solely responsible for ensuring that any outbound, email, calling, or data-enrichment activity carried out on its behalf complies with applicable laws in the jurisdictions it targets, including but not limited to the CAN-SPAM Act (US), CASL (Canada), the UK/EU GDPR and ePrivacy rules, Singapore’s Personal Data Protection Act (PDPA), Australia’s Spam Act 2003 and Privacy Act 1988, and India’s Digital Personal Data Protection Act, 2023. RevOpsLogic will implement reasonable industry-standard practices (e.g., unsubscribe handling, suppression lists) but does not act as Client’s legal or compliance advisor.

2.5Client will not use the Services for any unlawful purpose, to send unsolicited communications in violation of applicable law, or to infringe the rights of any third party.

    03Fees and Payment

3.1Fees for the Services are set out in the applicable proposal, SOW, or order form and are quoted and payable in US Dollars (USD) unless otherwise agreed.

3.2Payments may be collected via approved online payment processors (including Stripe and/or Razorpay) or by bank transfer against invoice, as agreed per engagement. Client is responsible for any transaction fees, currency conversion charges, and applicable taxes (including GST, VAT, or withholding tax) not expressly included in the quoted fee.

3.3Unless otherwise stated in the SOW, invoices are due within 14 days of the invoice date. Overdue amounts may accrue interest at 1.5% per month (or the maximum permitted by law, if lower) and RevOpsLogic may suspend Services for accounts more than 15 days overdue, after written notice.

3.4Fees are non-refundable except as expressly set out in the applicable SOW or as required by law.

3.5RevOpsLogic engages payment processors as independent third parties; we do not store full payment card details on our own systems.

    04Term and Termination

4.1These Terms remain in effect for as long as Client uses the Site or receives Services from RevOpsLogic. Each SOW has its own term as specified therein.

4.2Either party may terminate an SOW for convenience with 30 days’ written notice, unless otherwise stated in that SOW.

4.3Either party may terminate an SOW immediately on written notice if the other party materially breaches these Terms or the SOW and fails to cure the breach within 15 days of notice.

4.4On termination, Client will pay for all Services performed and expenses reasonably incurred up to the effective date of termination. Sections relating to Fees (accrued), Confidentiality, Intellectual Property, Limitation of Liability, Indemnification, and Governing Law survive termination.

    05Intellectual Property

5.1RevOpsLogic retains ownership of its pre-existing methodologies, templates, playbooks, frameworks, and general know-how (“RevOpsLogic IP”), whether or not used in delivering the Services.

5.2Subject to full payment, Client owns the specific deliverables, configurations, and workflows built specifically for Client under an SOW (“Client Deliverables”), excluding any RevOpsLogic IP embedded within them, which RevOpsLogic licenses to Client on a non-exclusive, perpetual basis for Client’s internal business use.

5.3RevOpsLogic may use Client’s name and logo, and a general, non-confidential description of the engagement, for marketing and case-study purposes, unless Client opts out in writing.

    06Confidentiality

6.1Each party may receive confidential or proprietary information (“Confidential Information”) of the other in connection with the Services. Each party will use the other’s Confidential Information solely to perform its obligations, and will protect it using at least the same degree of care it uses for its own confidential information (and no less than reasonable care).

6.2Confidential Information excludes information that is or becomes public through no fault of the receiving party, was already known to the receiving party without restriction, or is independently developed.

6.3This Section survives termination of these Terms for 3 years, and indefinitely with respect to trade secrets.

    07Data Protection

7.1To the extent RevOpsLogic processes personal data on Client’s behalf in the course of providing the Services, RevOpsLogic acts as a processor/service provider, and Client acts as controller/business, as those terms are defined under applicable data protection law (including GDPR, UK GDPR, India’s DPDP Act, Singapore’s PDPA, and applicable US state privacy laws).

7.2Our Privacy Policy (https://revopslogic.com/privacy) describes how we handle personal data generally. Where required by applicable law, the parties will enter into a separate Data Processing Agreement (“DPA”) governing the processing of personal data under an engagement, which will form part of the applicable SOW.

7.3RevOpsLogic will implement reasonable technical and organizational measures to protect personal data processed on Client’s behalf and will engage subprocessors as described in Section 8.

    08Third-Party Tools and Subprocessors

8.1Delivery of the Services may involve configuring or using third-party platforms, which may include Clay, Instantly, Zoho CRM, HubSpot, monday.com, Zapier, Make, Chili Piper, Brevo, Mailchimp, Kixie, Clearbit, HighLevel, RB2B, Attio, Calendly, Stripe, and Razorpay, among others (“Third-Party Tools”).

8.2Where Client holds its own account/license with a Third-Party Tool, Client’s use of that tool is governed by that provider’s own terms, and RevOpsLogic is not responsible for the tool’s uptime, pricing, or policy changes.

8.3Where RevOpsLogic provisions or resells access to a Third-Party Tool as part of the Services, this will be specified in the SOW along with any related fees.

8.4RevOpsLogic is not liable for acts, omissions, security incidents, or service interruptions caused by Third-Party Tools, except to the extent caused by RevOpsLogic’s own negligence in configuring or using them.

    09Warranties and Disclaimers

9.1RevOpsLogic will perform the Services in a professional and workmanlike manner consistent with industry standards.

9.2EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR AN APPLICABLE SOW, THE SERVICES AND SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. REVOPSLOGIC DOES NOT WARRANT ANY SPECIFIC BUSINESS OUTCOME, PIPELINE VOLUME, CONVERSION RATE, OR REVENUE RESULT.

9.3Results and Testimonials Disclaimer. Any statistics, percentages, growth figures, case studies, testimonials, or other performance claims referenced on the Site (including, without limitation, figures relating to sales-team capacity, pipeline growth, lead response time, or revenue visibility) are self-reported by the specific clients described, based on their own individual business outcomes over a specific period and set of circumstances. Such results are illustrative only, are not independently verified or audited by RevOpsLogic unless expressly stated otherwise, and are not guarantees, warranties, projections, or representations of the results any other client, including Client, will or may achieve. Actual results vary significantly from business to business depending on factors including but not limited to industry, market conditions, existing systems, team execution, budget, and data quality, many of which are outside RevOpsLogic’s control. No statement on the Site should be relied upon as a promise or guarantee of similar results.

    10Limitation of Liability

10.1TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVOPSLOGIC’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO AN ENGAGEMENT WILL NOT EXCEED THE TOTAL FEES PAID BY CLIENT TO REVOPSLOGIC UNDER THE APPLICABLE SOW IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10.3Nothing in these Terms limits liability that cannot be limited under applicable law (e.g., liability for fraud, gross negligence, or willful misconduct, where applicable).

    11Indemnification

11Client will indemnify, defend, and hold harmless RevOpsLogic and its officers, employees, and agents from and against any third-party claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of: (a) Client’s breach of Section 2 (Client Responsibilities), including any claim that data or contact lists provided by Client were unlawfully obtained or used; (b) Client’s violation of applicable law; or (c) Client’s use of the Services or Deliverables in breach of these Terms.

    12Force Majeure

12Neither party is liable for delay or failure to perform its obligations (other than payment obligations) due to causes beyond its reasonable control, including natural disasters, war, government action, internet or utility outages, or failures of Third-Party Tools.

    13Governing Law and Jurisdiction

13These Terms and any dispute arising out of or in connection with them (including non-contractual disputes) will be governed by the laws of India. Subject to Section 14, the courts of Delhi, India will have exclusive jurisdiction, and each party submits to the exclusive jurisdiction of those courts.

    14Dispute Resolution

14The parties will first attempt to resolve any dispute through good-faith negotiation between senior representatives within 15 days of written notice of the dispute. If unresolved, the dispute will be subject to the exclusive jurisdiction of the courts identified in Section 13, unless the applicable SOW specifies binding arbitration, in which case arbitration will be conducted in Delhi, India, in the English language, under the Arbitration and Conciliation Act, 1996, before a sole arbitrator mutually appointed by the parties.

    15General

15.1Assignment. Neither party may assign these Terms without the other’s prior written consent, except to a successor in connection with a merger, acquisition, or sale of substantially all assets.

15.2Independent Contractors. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.

15.3Entire Agreement. These Terms, together with any applicable SOW, DPA, and the Privacy Policy, constitute the entire agreement between the parties regarding their subject matter and supersede all prior agreements on that subject.

15.4Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.

15.5Changes to These Terms. We may update these Terms from time to time. Material changes will be notified via the Site or by email to active clients, and continued use of the Services after such notice constitutes acceptance. The “Last Updated” date above reflects the most recent revision.
